Terms of Use

These Terms of Use ("Terms") govern the terms and conditions relating to the use of the Lufios artificial intelligence platform ("Platform") provided by Lufios Inc. ("Lufios", "we", or "the company"). By using the Platform, you are deemed to have accepted these Terms. Lufios Teknoloji A.S. is planned to be established for operations in Turkey; all provisions of these Terms will equally apply to Lufios Teknoloji A.S.

1. Definitions

• "Platform": The Lufios AI platform, web application, desktop application (Electron), and all related services
• "User": The natural person using the Platform
• "Customer": The legal entity or individual user purchasing Platform services
• "Content": All text, files, data, and materials created, uploaded, or processed on the Platform
• "AI Output": All responses, analyses, and content generated by the Platform's AI models
• "Services": All features, tools, and functions provided through the Platform

2. Account Creation and Security

You are required to create an account to use the Platform. When creating an account:

• You agree to provide accurate and current information
• You are responsible for account security and keeping your password confidential
• You are responsible for all activities under your account
• You must immediately notify us in case of unauthorized access or security breach
• You may not transfer or share your account with third parties

For enterprise accounts, the administrator user has the authority to manage accounts on behalf of the organization and bears the responsibility of managing users.

3. Scope of Services

The Lufios platform provides the following services:

• AI-powered enterprise assistant (chat, analysis, reporting)
• Autonomous agent creation and management
• Email, calendar, and file integrations (Google Workspace, Microsoft 365, Yandex)
• Database querying and reporting (ERP/Firebird integration)
• Python code execution and document processing
• File upload, storage, and sharing

The scope of services may vary based on the selected plan and license type. Certain features may be subject to additional charges.

4. Acceptable Use

You agree to comply with the following rules when using the Platform:

You must:

• Use the Platform only for lawful and legitimate business purposes
• Comply with all applicable laws and regulations
• Keep your account information secure
• Consciously manage third-party integration authorizations

You must not:

• Use the Platform for illegal, harmful, or deceptive activities
• Attempt to bypass, reverse-engineer, or break the Platform's security mechanisms
• Create excessive load that could damage Platform infrastructure (automated bots, scraping, etc.)
• Attempt unauthorized access to other users' data
• Upload or distribute malware, viruses, or malicious code
• Use the Platform for spam, unsolicited mass messaging, or fraud
• Create or disseminate content that infringes intellectual property rights
• Intentionally use AI outputs in misleading ways (deepfakes, disinformation, etc.)

5. Intellectual Property Rights

Platform ownership:

• The Lufios platform, its software, design, logos, trademarks, and documentation belong to Lufios Inc.
• The platform usage license does not constitute a transfer of ownership
• Copying, distributing, reverse-engineering, or creating derivative works from the Platform is prohibited

User content:

• Intellectual property rights over content you create or upload on the Platform belong to you
• You grant us a limited license necessary for the Platform to deliver its services (processing, storing, and displaying content)
• AI-generated content belongs to the user who provided the input or the customer organization

6. AI Usage Terms

Lufios is an AI platform. Special terms regarding the use of AI features:

• AI outputs are for informational purposes and do not substitute professional advice (legal, financial, medical, etc.)
• The accuracy of AI outputs is not guaranteed; independent verification is recommended for important decisions
• Your interactions with AI are logged for audit and service quality purposes
• AI model behavior may change over time due to updates
• The Platform uses services from third-party AI providers (Google Vertex AI)

7. Pricing and Payment

• Service fees are determined based on the selected plan and usage volume
• Fees are billed monthly or annually
• Payment terms are specified in a separate service agreement
• Additional charges may apply based on AI model usage volume
• Service may be suspended in case of non-payment
• Price changes are communicated at least 30 days in advance

8. Service Level and Availability

• Reasonable availability is targeted for the Platform, but uninterrupted service is not guaranteed
• Planned maintenance is communicated in advance whenever possible
• Lufios cannot be held responsible for interruptions caused by third-party service providers (cloud infrastructure, AI models)
• Service level commitments (SLA) for enterprise customers are defined in a separate agreement

9. Limitation of Liability

To the maximum extent permitted by applicable law:

• The Platform is provided "as is" and "as available"
• Lufios shall not be liable for direct, indirect, incidental, special, or consequential damages (including loss of profit, data loss, business interruption)
• Lufios's total liability is limited to the service fees paid in the 12 months preceding the event giving rise to the damage
• The accuracy, completeness, or fitness for a particular purpose of AI outputs is not guaranteed

These limitations apply subject to mandatory provisions governing consumer rights and except in cases of intent or gross negligence.

10. Indemnification

As a user, you agree to indemnify Lufios against any claims, damages, and expenses arising from your use of the Platform in violation of these Terms, your infringement of third-party rights, or your violation of applicable laws.

11. Account Suspension and Termination

Lufios may suspend or terminate your account in the following situations:

• Violation of these Terms
• Suspicion of illegal activity
• Failure to fulfill payment obligations
• Behavior threatening Platform security
• Valid requests from legal authorities

Upon account termination:

• A reasonable period is provided for you to export your data (except in cases of legal obligation or security breach)
• Your data is deleted in accordance with the retention policy after termination
• Refund policy for prepaid but unused service fees is determined in a separate agreement

As a user, you may close your account at any time.

12. Third-Party Integrations

The Platform offers integrations with third-party services (Google Workspace, Microsoft 365, Yandex, etc.):

• These integrations are activated only with your explicit authorization
• Third-party services have their own terms of use and privacy policies
• Lufios is not responsible for the availability, security, or data practices of third-party services
• You may revoke integration authorizations at any time

13. Privacy

Detailed information regarding the processing of your personal data is available in our Privacy Policy. Your use of the Platform is subject to our Privacy Policy.

14. Modifications

We may update these Terms from time to time. Significant changes are communicated at least 30 days in advance through the Platform or via email. Your continued use of the Platform after changes constitutes acceptance of the updated terms.

If you do not accept significant changes, you have the right to close your account.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Republic of Turkey. Disputes arising from or related to these Terms fall under the jurisdiction of Istanbul Courts and Enforcement Offices.

Alternative dispute resolution mechanisms (arbitration, etc.) for enterprise customers may be determined in a separate agreement.

16. Severability

If any provision of these Terms is found to be invalid or unenforceable, the validity of the remaining provisions shall not be affected.

17. Waiver

Lufios's failure to exercise or delay in exercising any right under these Terms does not constitute a waiver of that right.
